Affiliate Program Terms

These Affiliate Program Terms (“Agreement”) govern your participation in the nordenagent affiliate program (“Program”) operated by Norden Vision OÜ, registry code 14173557, Katusepapi 6, Tallinn, Estonia (“we”, “us”). By joining the Program you agree to this Agreement and to our Terms of Service, Privacy Policy and Acceptable Use Policy.

1. Eligibility

You must be at least 18, legally able to enter into a contract, and have an active nordenagent account in good standing. Residents of jurisdictions that prohibit referral programs, or where participation would breach our export-control and sanctions obligations, are not eligible. We may decline or suspend applications at our reasonable discretion.

2. Commission

You earn a 20% recurring commission on every subscription payment made by customers who sign up through your referral link, for 12 monthsfrom the date that customer first became a paying subscriber. Media spend that customers incur directly on third-party ad platforms is not part of the subscription fee and is not commissionable. The commission rate and duration are fixed at the time of each referral’s conversion and do not change retroactively.

3. Attribution

Attribution is cookie-based with a 30-day window: when a visitor clicks your referral link at /r/<code>, we set a first-party cookie that associates their future signup with your account for 30 days. A customer can only be referred by one affiliate — last touch wins. We do not support coupon codes, manual attribution, or cross-device deterministic matching.

4. Refund hold, clawback, and chargebacks

Commissions are held for 30 days after they accrue to cover the customer’s refund window; a commission becomes payable only after the hold expires. If the referred customer disputes the charge, issues a chargeback, or receives a refund at any time, the corresponding commission is clawed back in proportion to the refunded amount and deducted from your current or future balance. We may freeze payouts during any investigation or dispute and may offset clawbacks against future commissions for up to 12 months.

5. Payouts via Stripe Connect

Payouts are made via Stripe Connect Express once you complete the onboarding flow. Stripe is responsible for identity verification, bank-account validation, and transmission of funds under its own terms. Payout frequency is set by your Stripe account; we do not hold your funds after the 30-day hold clears and you have completed Connect onboarding. Affiliates without Stripe Connect may receive manual payouts at our discretion, on our schedule, with no guaranteed minimum frequency and subject to a reasonable administrative fee where applicable.

6. Taxes

You are solely responsible for reporting and paying all taxes on commissions. Depending on your jurisdiction, VAT / sales tax may apply to commissions; where required, commissions may be paid inclusive of tax or subject to a reverse-charge mechanism. Where Stripe issues tax forms (for example, IRS 1099-K in the US), it does so directly to you through your Connect account. We do not withhold tax from your commissions. Consult your own tax adviser.

7. Prohibited promotion

You must not:

bid on our trademarks or brand terms (“nordenagent”, “norden agent”, misspellings, +subdomain variants) in paid search or shopping campaigns on any platform;
register domains, subdomains, social handles, or app-store listings that incorporate, mimic, or could confuse users with our brand;
spam, send unsolicited email or SMS, post on unrelated forums, auto-DM, or use bots;
post or publish incentivised reviews, fake testimonials, or offer cashback / kickbacks / gift cards to referred users unless we have approved the offer in writing;
run paid ads on platforms or in countries where the Program is prohibited by law or by the platform’s own rules;
copy, modify, scrape, frame, or rehost our marketing pages, blog posts, or docs without attribution and explicit permission;
claim to be a reseller, agent, employee, or official partner of nordenagent;
use the Program in any way that breaches applicable consumer-protection, advertising, or disclosure laws (e.g., FTC endorsement guides, EU Digital Services Act “ad” labels, UK CAP code).

8. Disclosure

You must clearly and conspicuously disclose your affiliate relationship wherever you promote the Service (e.g., “#affiliate” or “I earn a commission if you sign up via this link”). This applies regardless of platform. We may require specific disclosure wording at our discretion for regulated channels.

9. Self-referrals

You may not refer yourself, any account you control, any member of your household, or any account created at your direction. Self-referrals are blocked automatically at signup; any commission accrued on such accounts is void and may be reversed at any time.

10. Use of our marks and materials

We grant you a limited, revocable, non-exclusive, non-transferable licence to use our name, logo, and official marketing assets solely to refer customers to the Service, in unmodified form, consistent with our brand guidelines. All goodwill accrues to us. The licence ends when you leave the Program or when we terminate this Agreement.

11. Independent contractor

You and we are independent contractors. Nothing in this Agreement creates any employment, partnership, joint venture, agency, or franchise relationship. You have no authority to bind us or make any representation on our behalf.

12. Suspension and termination

Either party may terminate participation in the Program at any time, with or without cause, on notice. We may suspend or close your affiliate account immediately if we reasonably believe you have breached this Agreement or the Acceptable Use Policy; in that event, any pending or held commissions may be forfeited. On termination without breach, commissions that are already payable will be paid out on the next scheduled payout run and, after that, recurring commissions on existing active referrals will continue to accrue for the remainder of their 12-month window provided you remain compliant with this Agreement. Surviving clauses: 4, 6, 7, 9, 10, 13, 14.

13. Changes

We may update this Agreement from time to time. We will announce material changes by email to the affiliate mailbox on file at least 14 days before they take effect. Continued participation after the effective date constitutes acceptance. Commission rates already in effect for an existing referral are not affected by future changes.

14. Liability and warranty

The Program is provided “as is”. Our total aggregate liability arising out of or related to this Agreement is limited to the total commissions we paid you in the 6 months preceding the event giving rise to the claim. We disclaim all warranties to the fullest extent permitted by law. Nothing in this Agreement excludes liability that cannot be excluded by law.

15. Governing law

This Agreement is governed by the laws of the Republic of Estonia and disputes are subject to the exclusive jurisdiction of the courts of Harju County, Tallinn, Estonia, as set out in our Terms of Service.
